1 Plain-Language Summary (non-binding)

  • This public site is informational only. It does not provide therapy, medical advice, or emergency services and is not monitored 24 / 7. In a crisis call 911 or 988 (U.S.).
  • Most disputes must be resolved by individual AAA arbitration (no class actions), but you may opt out within 30 days by e-mail (see § 16.3).
  • Aggregate Liability Cap — USD $1 000 per user.
  • Blog comments are public; Solara may remove them and will disable accounts of repeat copyright infringers.

2 Acceptance of Terms & Age Eligibility

The website at solaramentalhealth.com (the “Site”) is operated by Solara Health, Inc. (d/b/a “Solara Mental Health,” “Solara,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your use of the Site and its informational features (the “Website Services”). Clinical or therapeutic services are governed separately under HIPAA-compliant agreements and notices.

The Site is intended for individuals located within the United States.

By using the Site you

  1. Accept these Terms and our Privacy Policy, which explains, among other things, your “Your California Privacy Choices” opt-out rights under the CPRA; and
  2. Confirm you are at least 13 years old. Users 13–17 may use the Site only with a parent or legal guardian’s consent, and that adult accepts these Terms on the minor’s behalf.

Children’s Privacy (COPPA)

We do not knowingly collect personal information from children under 13. If we discover such data we will delete it. Report concerns to [email protected].

If you do not agree to every provision below, do not use the Site.

3 Important Disclaimers — No Medical Advice

  1. Informational Only — All content is general educational material, not medical, psychiatric, or psychological advice.
  2. No Patient Relationship — Viewing the Site or sending non-urgent inquiries/comments does not create a provider-patient relationship.
  3. Not Monitored 24 / 7 — Forms, e-mail, and comments are not continuously monitored; do not use them for urgent needs.
  4. Testimonials — Individual experiences; results vary. Material connections/incentives are disclosed per FTC 16 C.F.R. § 255.
  5. Emergency — Call 911 or 988 (U.S.) immediately for medical or mental-health emergencies.

5 Intellectual-Property Rights

All Site content is owned by Solara or its licensors and protected by law. You receive a limited, revocable, non-transferable license to view the Site for personal, non-commercial use. No other rights are granted.

6 User Feedback

Any suggestions or ideas you provide (“Feedback”) grant Solara a perpetual, worldwide, royalty-free, irrevocable, sublicensable, and transferable license to use the Feedback for any purpose without attribution or compensation.

7 User-Generated Content (Comments)

7.1 License & Warranties

By posting a comment (“User Content”) you

  • Represent & warrant you own necessary rights, your content violates no laws or HIPAA, and it complies with these Terms; and
  • Grant Solara an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, adapt, publish, translate, distribute, perform, and display your content in any media.

7.2 Moderation & Notice

Solara may edit or remove User Content at any time. If your comment is removed, we will notify you at the e-mail associated with the comment and provide a link to our DMCA counter-notice process.

7.3 Repeat-Infringer Policy

A user who receives three valid DMCA notices will have commenting privileges permanently terminated.

Submitting a Notice — Include all elements of § 512(c)(3).
Counter-Notice — Follow § 512(g). We will restore removed material 10–14 business days after a valid counter-notice unless the claimant files suit.

9 Permitted & Prohibited Uses

You may use the Site only for lawful, personal, non-commercial purposes. You must not

  • Violate any law or regulation;
  • Post or transmit advertising, spam, or solicitations;
  • Impersonate any person or entity;
  • Collect personal data without authorization;
  • Use scraping, bots, or other automated means without consent;
  • Introduce malware or harmful code;
  • Attempt unauthorized access to the Site, servers, or networks;
  • Interfere with or disrupt the Site;
  • Upload or post defamatory, obscene, hateful, or harassing content; or
  • Engage in conduct that restricts or inhibits others’ use or that harms Solara or users.

10 Third-Party Links & Services

The Site may link to third-party websites or services (e.g., the Kipu patient portal). Solara does not control, endorse, warrant, or guarantee the accuracy, completeness, legality, or safety of third-party content. Access third-party sites at your own risk.

11 Disclaimer of Warranties

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SOLARA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.

12 Limitation of Liability

Aggregate Liability Cap — USD $1 000 per user. To the fullest extent permitted by law, Solara shall not be liable for any indirect, incidental, special, consequential, punitive, or similar damages, or for lost profits, data, or goodwill, even if advised of the possibility.

13 Indemnification

You will defend, indemnify, and hold harmless Solara and its affiliates, officers, directors, employees, and agents from any claims or losses arising out of your breach, your User Content, or your misuse of the Site.

14 Modifications to Terms

We may revise these Terms at any time.

  • Material changes to Section 16 (Arbitration) require your affirmative click-wrap consent — and will also be announced via a site-wide banner shown for 30 days.
  • All other changes become effective upon posting the revised Terms with an updated “Last Updated” date and a 30-day site-wide banner linking to a summary or red-line.

Continued use after changes become effective constitutes acceptance.

15 Termination

Solara may suspend or terminate access at any time, with or without notice.

16 Dispute Resolution — Binding Arbitration & Class-Action Waiver

16.1 Agreement to Arbitrate

All disputes arising from these Terms or the Site (“Dispute”) will be resolved solely by binding, individual AAA arbitration in San Diego County, California, under the Federal Arbitration Act (FAA).

16.2 Public-Injunctive Relief Carve-Out

You may seek public injunctive relief in court, consistent with the California McGill rule.

16.3 30-Day Opt-Out

E-mail [email protected] with the subject “Arbitration Opt-Out” within 30 days of first agreeing to these Terms. The e-mail must originate from the same address you used on the Site (or otherwise identify you with certainty) and state that you wish to opt out of arbitration.

16.4 Small-Claims and IP Exceptions

Either party may bring qualifying claims in small-claims court or seek court injunctions for intellectual-property infringement.

16.5 Class Waiver & Fees

No class actions. AAA Consumer Rules govern fees; if the arbitrator finds the fees prohibitive, Solara will pay them.

16.6 Survival

This Section survives termination.

17 Venue

Except for arbitration matters, exclusive jurisdiction lies in the state or federal courts of San Diego County, California, and you consent thereto.

18 Governing Law

These Terms are governed by California law; the FAA governs arbitration.

19 Accessibility (ADA)

Solara strives for WCAG 2.2 Level AA.

We will make reasonable efforts to address accessibility issues.

20 California Consumer Rights Notice

Under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 N Market Blvd., Suite N 112, Sacramento CA 95834, or (800) 952-5210 / (916) 445-1254.

21 Force Majeure

Solara is not liable for delays beyond reasonable control (e.g., natural disasters, pandemics, utility failures) — (for clarity, the Site is presently free; this carve-out applies only if Solara later offers paid services).

22 Assignment

You may not assign your rights; Solara may assign to an affiliate or successor.

23 Survival

Sections 3, 5, 6, 7, 8, 9, 11, 12, 13, 14, 16, 17, 18, 22, 24, Miscellaneous (§ 25) survive termination.

24 Export-Control & Sanctions Compliance

You may not use the Site if you are located in a U.S.-embargoed country or on a U.S. denied-party list.

25 Miscellaneous

  • Entire Agreement — These Terms and the Privacy Policy constitute the entire agreement and supersede all prior communications.
  • Modification in Writing — Except for revisions posted per Section 14, any amendment must be in a signed writing by Solara.
  • Waiver & Severability — Failure to enforce any provision is not a waiver; invalid provisions are severed.
  • Headings / Language — Headings are for convenience only; the English version controls.
